OXFORD RUGBY FOOTBALL CLUB
CLUB CONSTITUTION - 2019

1. The club shall be known as the OXFORD RUGBY FOOTBALL CLUB formerly the
Oxfordshire Nomads R.U.F.C. and in these rules shall be referred to as “The Club”.
2. The objects of The Club shall be the promotion of the game of Rugby Football as
played according to the laws of the Rugby Football Union. The Club is a non-profit
organisation. Any surplus of income over expenditure or other gains are to be used for
investment in development of the Club and its facilities for Rugby. No surplus or gain
can be distributed to members or third parties except for reasonable modest donations
to charitable causes or other CASC Clubs commensurate with the Club’s commitment
to rugby.
3. The Club shall be open to the membership of all persons having an interest in the
game of Rugby Football who pay the appropriate subscription in accordance with Rule
16. Membership of the Club is open to all the community and without discrimination
on the grounds of Ethnicity, Nationality, Sexual Orientation, Religious Beliefs, Age or
Disability except as a consequence of the requirements of a particular sport.
4. The Officers of the Club shall consist of the following members: -

1. The President
2. The Chairman
3. Hon. Secretary
4. Hon. Treasurer
5. Bar Chairman

All Officers must be paid up members of the club.
The role of President is by nature an Honorific role and no member may fulfil this role
for more than three years.
5. (a) The Club shall be managed by a General Committee and by the Sub-committees
referred to in paragraph (b) of this rule. The General Committee is authorised to
contract with third parties on behalf of the Club providing the financial requirements
agreed by the General Committee from time to time are complied with. Such

Subcommittees shall (subject to paragraph (c) of this rule) have delegated to them
such powers as the General Committee may from time to time decide.
(b) The Sub-committees referred to in paragraph (a) of this rule shall be as
follows: -
(i) Playing
(ii) Bar
(iii) Any other sub committees the general committee determines are
necessary

(c) The Bar Sub-committee shall be responsible for the purchase for the Club and
the supply by the Club of intoxicating liquor and for fixing the permitted hours for the
supply of intoxicating liquor.
6. (a) The General Committee shall consist of the Officers of the Club and the Chairmen
of the Sub-committees referred to in Rule 5 hereof (except in so far as the Chairman of
any Sub-committee is already an Officer of the Club), together with the Chairman or
nominated representatives of all sections of the Club. All officers of the General
Committee shall be elected annually at the Annual General Meeting. The meeting may
also elect additional members to the General Committee.
(b) The Sub-committees other than the Bar Committee shall each consist of a
Chairman of the Sub-committee to be appointed by the General Committee, and such
other members as the General Committee shall approve. At least one elected member
of the General Committee shall serve on each Sub-Committee.
(c) The Bar Committee shall consist of three members of the Club. The Chairman
of the Bar Committee shall be elected annually at the Annual General Meeting. Other
Bar Committee members shall be appointed by the General Committee.
7. Annual Accounts prepared in accordance with current legal requirements and accepted
practice shall be presented for approval at the Annual Financial General Meeting.
8. The General Committee shall have power to co-opt additional members to, and to fill
any vacancy in, the General Committee or among the Officers of the Club and to
appoint any Sub-committee other than those referred to in Rule 5 (b). The number of
co-opted members may not exceed the total number of Officers and Elected members.
9. While the club remains unincorporated, there shall be not more than four Trustees of
the Club. The first Trustees shall be appointed by the General Committee, and the
property of the Club (other than cash, which shall be under the control of the
Treasurer) shall be vested in them to be dealt with by them as the General Committee
shall from time to time direct. The Trustees shall hold office until death or resignation
or until removed from office by a resolution of the General Committee. New or
additional Trustees shall be nominated by resolution of the General Committee. For
the purpose of giving effect to such nomination the President is hereby nominated as
the person to appoint new Trustees of the Club within the meaning of Section 36 of
the Trustees Act 1925, and he shall by Deed duly appoint the person or persons so
nominated by the General Committee as the new Trustee or Trustees of the Club, and
the provisions of the Trustees Act 1925 shall apply to any such appointment. Any

statement of fact in any such Deed of Appointment shall in favour of a person dealing
bona fide and for value with the Club or the General Committee, be conclusive
evidence of the fact so stated. At such point as the club becomes an incorporated
entity, these rules shall be updated to reflect such, and this paragraph shall be updated
accordingly.
10. There may be admitted to the Club’s registered premises persons other than members
or their guests and intoxicating liquor may be sold to such persons by or on behalf of
the club for consumption on the premises and not elsewhere provided that such
persons are either:
(i) a member who has been a member of the Club for at least two days, or
whose nomination or application for membership was made at least two
days before admission to the privilege of membership.
(ii) members or supporters of a team visiting the Club’s premises for the
purpose of playing a match.
(iii) persons visiting the Club’s premises for a sporting purpose or social
function.
(iv) persons attending an approved function in accordance with Rule 11
thereof.
a. Permitted Social functions include discos, live bands, recorded
music, pub quizzes, dancing and making music.
b. There shall be no supply of intoxicating liquor for consumption off
the premises except to a member in person.
c. Members may introduce and entertain not more than three friends at
the Club at any one time and there should be kept at the Club’s
premises a visitors’ book in which both the member and the friend
shall sign. The introducing member shall be responsible for his or
her guest strictly observing the Club Rules and must not leave the
Club’s premises before his or her guest. No person under the age of
18 years shall be served with or permitted to consume intoxicating
liquor on the Club’s premises. A list of names and addresses of all
members shall be kept on the Club’s premises.
d. Permitted hours will be fixed by the Bar Committee and a notice of
these posted in the Club House. Any change in club rules should be
brought to the attention of the Police Local Authority and the
Magistrates Court within 28 days.

11. While the licence remains a Club Licence, intoxicating liquor may be sold by the Club
on not more that twelve occasions in any year to persons who are not members of the
Club but who are attending a social function at the Club’s premises authorised by the
General Committee and organised by a reputable body who will control the function.
But no function shall be permitted to which admission may be obtained by payment of
money at the door whether for a ticket or otherwise. If the club changes its licence to
a full Premises Licence, the terms of the new licence shall govern the operations of the
Bar from that point onwards and these rules will be updated accordingly.

12. (a) The Annual General Meeting of the Club shall be held following the end of the
playing season for that year. The purpose of the meeting shall be:
(i) Election of Officers of the Club
(ii) Election of Bar Chairman
(iii) Election of any other members of the General Committee
(iv) Approval of Annual Report
(v) Alteration or addition to the Rules
(vi) Any other business that may be transacted at the Annual General
Meeting.

Nominations for all officers elected at the AGM should be given to the Secretary not
later than seven (7) days prior to the date of the AGM. Such nominations should
include a proposer and seconder and the agreement of the nominee shall have been
obtained.
12 (b) The Annual Financial General Meeting shall be held following the end of the
playing season for that year and no later than five months after the end of the financial
year. The purpose of the meeting shall be the presentation and approval of the
accounts for the year. It may be held on the same date as the Annual General
Meeting.
13. Every Annual Meeting of the Club shall be called by the Hon. Secretary by giving
fourteen (14) days’ notice in writing thereof. Such notice shall state the business to be
transacted at the Meeting.
14. The Rules of the Club shall not be altered or added to except by a vote of the majority
of members present at the Annual General Meeting, or Extraordinary General Meeting
called for this purpose. Any members desiring to make any proposal to alter or to add
to the Rules shall give notice in writing to the Hon. Secretary of their proposal one full
calendar month prior to the Annual General Meeting, or an Extraordinary General
Meeting called for this purpose under Rule 15.
15. An Extraordinary General Meeting of the Club may be called by the General
Committee at any time upon receipt by the Hon. Secretary of a demand in writing
signed by at least ten paid-up members requiring the General Committee to do so and
stating the proposals to be laid before such meeting.
16. (a) Every member of the Club shall pay an annual subscription to the OXFORD
RUGBY FOOTBALL CLUB. The annual subscription shall be set by the
Committee.
The Committee shall be empowered to determine the subscriptions on an annual
basis.
(b) The liability of the members shall not exceed the amount of the annual
subscription.
17. In addition to the subscription laid down in rule 16 playing members shall, when
playing in matches either at home or away, pay a match fee to be fixed by the General
Committee and paid to the OXFORD RUGBY FOOTBALL CLUB and this amount
shall be set against the cost of travelling and the provision of teas for visitors and
members playing at home.

18. Anyone may apply to become a member of the club. Full voting status is given to
Senior playing members and Vice Presidents. Social members do not have voting
rights but are welcome to attend any General Meeting as observers. At the discretion
of the Chair, Social Members may be invited to speak on relevant issues.
Playing members shall give written notice to the Membership Secretary by 1st
September in any year if they do not wish to renew their membership. Any player
who has not given notice must pay his subscription by 30th September in any year,
otherwise he shall not play for the Club until his subscription has been paid. If any
player joins the Club for the first time after 30th September in any year, the
subscription charge will be at the sole discretion of the General Committee and shall
be paid before the player can play for the Club.
19. If the General Committee by a simple majority decides at any time that on the grounds
of expense or otherwise it is necessary or advisable to dissolve the Club, it shall
(notwithstanding the requirements of rule 15) call an Extraordinary General Meeting
of which not less than 21 days’ notice shall be given. If such decision shall be
confirmed by a two-thirds majority of those present and entitled to vote at such a
meeting, the General Committee shall have the power to dispose of any assets held by,
or on behalf of, the Club. Any assets remaining after the satisfaction of any proper
debts and liabilities shall be given or transferred to Oxfordshire Rugby Football Union
for the promotion of rugby union in the County of Oxfordshire.
20. All members shall wear the Club uniform to play in matches which is a jersey in
green, black and silver, black shorts and red stockings.
21. The General Committee may suspend or expel any members at their discretion for a
breach of these Rules or for conduct which they consider to be detrimental to the
club’s welfare or prestige.
22. The General Committee shall have power to deal with all matters not provided for in
these Rules.
